Meeting of the Supervisory Board and the General meeting of the shareholders of EuRoPol Gaz

A meeting of the Supervisory Board of EuRoPol Gaz was held in Warsaw on June 30, 2003 under the leadership of Alexander Ananenkov, the Chairman of the Supervisory Board and the Deputy Chairman of the Management Committee of Gazprom.
A schedule of operating expenses of EuRoPol Gaz for the year of 2003 was adopted at the meeting; the decision was made at the meeting to recommend the statement of accounts of the company for the years of 2001 and 2002 for approval by the general meeting of shareholders.
Special attention was paid to the topic of additional supplements to the contracts of EuRoPol Gaz and Gazexport as well as the Polish Oil and Gas Concern on the transit of Russian natural gas via the territory of Poland. The Supervisory Board made decision to address the Management committee of EuRoPol Gaz with a proposal to determine the Company’s management point of view on the problem and during a two-week period to submit the coordinated drafts of the said supplements. In addition, the Supervisory Board decided to form jointly with Gazprom a technical conciliation group for evaluation of the throughput capacity of the Polish section of the Yamal – Europe gas pipeline. Bogdan Budzulyak, the Member of the Management Committee and the Head of the Department of gas transportation, underground storage and utilization of Gazprom, was appointed the leader of the group from the Russian party.
The Supervisory Board also recommended the Management of EuRoPol Gaz to examine the possibility to hold a tender among construction companies for completion of the compressor station construction at the Polish section of the Yamal – Europe pipeline. The members of the Supervisory Board called attention of the management of EuRoPol Gaz to the necessity of fulfillment of the construction completion schedule in accordance with Supplementary intergovernmental protocol of February 12, 2003. Next meeting of the Supervisory Board was scheduled for July 17 in Moscow.
An ordinary general meeting of the shareholders of EuRoPol Gaz was held on the same day. Stanislav Tsygankov, the Head of the Department of foreign relations, represented Gazprom at the meeting. The meeting approved the financial report of the company for the year of 2001 and gave approval to the activities of the members of Supervisory Board in 2001 and 2002.
S. Tsygankov noted specially the importance of the soonest conclusion of additional supplements to the contracts with Gazexport and the Polish oil and gas concern for the natural gas transit, taking into account that those contracts serve the basis for EuRoPol Gaz revenues and influence directly the financial position of the Company. Then a break was announced in the meeting until July 25, 2003.
